One of the most frequent questions we get is whether a business should take “Udyam registration or MSME registration”. The premise is mistaken, and it is worth stating plainly: Udyam is the MSME registration process. There is no separate MSME certificate to obtain alongside it.
Where the confusion comes from
Earlier systems — Udyog Aadhaar and the older EM-II registration — were replaced by the Udyam Registration portal. Businesses registered under the previous systems were required to re-register under Udyam. Because older guides, forms and consultants still refer to the earlier names, owners assume these are parallel schemes. They are successive versions of the same thing.
So: if someone asks for your “MSME certificate”, what they want is your Udyam Registration Certificate and its Udyam Registration Number.
How enterprises are classified
MSMEs are classified as Micro, Small or Medium on a combination of two factors:
- Investment in plant, machinery or equipment
- Annual turnover
Both must fall within the limit for a category — exceeding either on its own moves the enterprise into the next tier. The thresholds have been revised more than once in recent years, so we deliberately do not quote figures here; we will confirm the limits in force on your date of application and tell you which category you fall into.
Why registration is worth having
- Collateral-free lending under applicable credit guarantee schemes
- Protection against delayed payments — buyers are required to settle MSME dues within the statutory period, with interest consequences for delay
- Preference in government tenders, including relaxations on turnover and prior-experience conditions
- Access to subsidies and State-level incentive schemes
- Easier participation in vendor onboarding, where large buyers ask for MSME status
For small suppliers, the delayed-payment protection is often the most valuable benefit in practice.
What you need to register
- Aadhaar of the proprietor, managing partner, or authorised director
- PAN of the business and of the applicant
- GSTIN, where the business is required to be registered under GST
- Bank account details
- Business address, commencement date and activity details
- Employee count and investment/turnover figures
Two things to know
First, registration on the official portal is free of cost. Be cautious of anyone charging a “government fee” for the registration itself — a professional may legitimately charge for assistance, but not for a fee that does not exist.
Second, the certificate is not a one-and-done document. Udyam details are linked to PAN and GST records and are expected to be kept current; a change in turnover or investment can alter your category, and outdated details can cause a claim to be questioned when it matters most.
